The Governance Committee Chair will not be a member of Low Entropy’s Board of Directors, but works in collaboration with and reports to the Board. The Chair is responsible for preparing draft agendas for committee meetings, reviewing the minutes of past meetings, organizing meeting dates, chairing meetings of the Committee, checking in via email or virtually with the Board President once a month and giving a committee report to the Board at its bi-monthly meetings regarding the work done/progress made by the Committee. Other Members of the Governance Committee will include the Board President, who is the Vice-Chair, at least one other Board Member, as well as a few other non-voting community members.

Purpose of the Committee: The Governance Committee is a standing (permanent) committee of Low Entropy’s Board of Directors. Working in collaboration with the full Board, the Committee is responsible for putting together, maintaining and determining necessary changes to the Organizational Bylaws. It is also responsible for ensuring that both the Board, as well as the organization is acting in accordance with the B.C. Societies Act. The Committee also has the important responsibilities of drafting HR policies for Low Entropy’s ever-growing staff, ensuring proper Board succession planning, as well as making sure that there is proper succession planning in place for both the Executive Director and Director of Programs. This Committee reports to the Board on a bi-monthly basis with progress updates, governance-related recommendations and advice, as well as proposed motions for the Board to vote on.

Qualifications: We are looking for an individual with a strong background and solid knowledge in non-profit governance best practices, human resources, board/management succession planning, organizational development, as well as someone who has a good understanding of the

B.C. Societies Act. Previous experience serving on a governance or other committee is preferred, but not required.
